These terms govern your use of the OpenBooks website, which is operated by 01Resolved, Inc., a Delaware corporation (“01Resolved”, “we”, “us”). By using the website you agree to these terms. If you do not agree, please do not use the website.
1. The website and the OpenBooks service
The website describes OpenBooks, a financial reporting workspace for onchain businesses. Access to the OpenBooks application and any paid service is governed by a separate written agreement between 01Resolved and each customer. If that agreement conflicts with these terms, the agreement controls.
2. Demonstration content
Meridian Labs, MRDN and every figure, report, chart and screen shown on the website are fictional and provided for illustration only. They do not describe a real company or token and do not represent results any customer will achieve.
3. No financial, investment or professional advice
Nothing on the website is financial, investment, tax, legal or accounting advice, or an offer or solicitation to buy or sell any token, security or other asset. Reports prepared with OpenBooks are management information and are not audited financial statements. You are responsible for your own decisions and should consult qualified advisors.
4. Acceptable use
You agree not to:
- use the website in violation of any law or the rights of others;
- interfere with or disrupt the website, or try to gain unauthorized access to it or related systems;
- scrape or copy the website by automated means beyond ordinary browsing and search engine indexing;
- introduce malware or any other harmful code; or
- submit false information or another person's personal information without their permission.
5. Enquiries
When you contact us through the website, you agree that the information you provide is accurate and that we may contact you about your enquiry. Our privacy policy explains how we handle that information.
6. Intellectual property
The website and its content, including the OpenBooks name, logo, text, graphics and software, are owned by 01Resolved or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to view and use the website for your own business evaluation. You may not copy, modify, distribute or create derivative works from it without our written permission.
Third-party names and logos shown on the website, such as those of wallets, exchanges, banks and software providers, belong to their owners. They are used only to identify those products and do not imply any partnership with or endorsement by those owners.
7. Feedback
If you send us suggestions or feedback, we may use them without restriction or obligation to you.
8. Third-party sites
The website links to sites and services we do not control, such as 01Resolved, X and Telegram. We are not responsible for their content or practices, and your use of them is governed by their terms.
9. Disclaimers
The website is provided “as is” and “as available”. To the fullest extent permitted by law, 01Resolved disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and does not warrant that the website will be accurate, uninterrupted or free of errors or harmful components.
10. Limitation of liability
To the fullest extent permitted by law, 01Resolved will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from your use of the website. Our total liability for any claim relating to the website is limited to one hundred US dollars (US$100). Some jurisdictions do not allow these limitations, so they may not apply to you.
11. Indemnity
You agree to indemnify and hold harmless 01Resolved and its officers, directors and employees from claims, losses and expenses, including reasonable legal fees, arising from your misuse of the website or your breach of these terms.
12. Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. You agree that the state and federal courts located in Delaware have exclusive jurisdiction over any dispute relating to these terms or the website.
13. Changes and general terms
We may update these terms from time to time by posting a new version on this page with a new effective date. Your continued use of the website after that date means you accept the updated terms. We may suspend or discontinue the website at any time. If any part of these terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. These terms are the entire agreement between you and 01Resolved about the website.
